Terms and Conditions
In these Terms of Business,”Bernd’s Eye View” located at the web address www.berndseyeview.com and the “Bernd’s Eye View” website means Bernd’s Eye view Imaging and “Client” means any person, firm or company who requests services and/or consumables from,”Bernd’s Eye View incorporates the businesses of ”Bernd’s Eye View”.
1 APPLICATION OF THESE TERMS
1.1 These Terms of Business govern the supply of all services and cards and posters by Bernd’s Eye View. All other terms and conditions (including without limitation any terms and conditions of the Client) are excluded. 1.2 Any valid amendment or variation to these Terms of Business must be in writing and signed by a director of Metro.
2 ORDERING BERND’s EYE VIEW
2.1 The Client may order services and/or consumables online, by phone, the Bernd’s Eye View website or written order.
2.2 All orders for services and/or consumables shall be binding on the Client whether or not they are confirmed by Bernd’s Eye View..
2.3 Bernd’s Eye View shall not be responsible for any errors made by the client.
2.4 Bernd’s Eye View shall be entitled to assume that any person placing and/or signing an order on behalf of the Client is authorized to do so.
2.5 Bernd’s Eye View reserves the right in its absolute discretion to refuse to accept any order.
2.6 Once an order has been accepted by Bernd’s Eye View, Bernd’s Eye View shall supply the services and/or consumables ordered in accordance with these Terms of Business.
2.7 Bernd’s Eye View reserves the right to produce work via the optimum method available to fulfil the order.
2.8 All sales are final
3 CHARGES
3.1 All prices shall be as quoted by Bernd’s Eye View or calculated by reference to Bernd’s Eye View’s current price lists as applicable. All prices exclude delivery and IVA Bernd’s Eye View except where indicated.
3.2 Prices specified on the Bernd’s Eye View price lists from time to time may be subject to change without warning where necessary due to any variations in Bernd’s Eye View costs, such as third party supplier costs and/or labour costs.
4 PAYMENT
4.1 All sums payable to Bernd’s Eye View shall be payable in Mexican Peso in full, without deduction, withholding or set-off. All prices and delivery charges are quoted exclusive of IVA unless otherwise indicated.
4.2 The Client shall be responsible for all customs and other duties and all related costs and expenses payable on any international transaction.
5 INTELLECTUAL PROPERTY RIGHTS
By clicking on the “Purchase” button, the Purchaser hereby agrees to the following conditions and restrictions of sale for the selected photographs:
1. THE SELLER ASSERTS OWNERSHIP RIGHTS TO THE DIGITAL IMAGES WHICH ARE OFFERED FOR SALE ON THIS WEBSITE.
2. The Purchaser is receiving a limited-use license for the digital image(s) being purchased in this electronic order. The use is therefore limited to:
a. Use of the image for the purpose of printing one copy of the image. Any printing beyond this is considered theft of intellectual property and the Seller reserves the unequivocal right to pursue legal action.
b. Use of the image for publication in Purchaser’s printed literature or Purchaser’s website. Any use of the purchased image in other electronic media will require written permission of the Seller, who may, at his discretion, grant a limited-use license to use that image. Any such use will require that the Purchaser provide attribution to Seller as the original artist creating the work.
3. Purchaser hereby agrees that Seller may commence legal action if Purchaser exceeds the conditions and restrictions contained herein. Purchaser will therefore cease and desist any use of the purchased images if notified by Seller to do so.
4. This agreement shall be governed by international copyright laws and other applicable intellectual property laws and regulations. Any enforcement action may be commenced by either party in any competent jurisdiction.
6 STORAGE AND DELIVERY OF DATA AND OTHER CLIENT MATERIALS – CLIENT’S RESPONSIBILITY TO INSURE
6.1 All film, negatives, digital data and other materials (including but not limited to any data or materials created by or on behalf of Bernd’s Eye View at the request of the Client) held by Bernd’s Eye View (whether online or otherwise) and all other materials belonging to the Client or any third party and provided to Bernd’s Eye View by the Client (for storage or otherwise) shall remain at the Client’s risk at all times and the Client shall be responsible for insuring the same at its own expense. Bernd’s Eye View shall not be responsible for the future integrity of digital data, nor for any failure to retrieve data from Bernd’s Eye View storage archive.
6.2 Bernd’s Eye View reserves the right to dispose of digital data files after printing, unless agreed otherwise with the Client in writing. Accordingly, the Client shall be solely responsible for ensuring that it holds adequate back-up copies of all digital data.
6.3 If any items deposited with Bernd’s Eye View by the Client or produced by Bernd’s Eye View for the Client are not collected by the Client within 12 months of completion of Bernd’s Eye View’s work in connection with the same, then Bernd’s Eye View may dispose of or destroy such items.
6.4 If any unprocessed film belonging to the Client has not been collected by the Client within 3 months of the commencement of the work undertaken by Metro, then Bernd’s Eye View may dispose of or destroy such film.
6.5 Negatives held at Bernd’s Eye View o pending a print order will be returned on production of the prints. If no print order is produced negatives will be held for up to 6 months. Any negatives not collected after 6 months will be disposed of by Bernd’s Eye View.
Courier Service / Delivery
6.6 The Client must sign for delivered work, or Bernd’s Eye View will not be held responsible for any losses arising from the delivery.
6.7 Whilst Bernd’s Eye View will make every effort to collect the Client’s materials and deliver work as quickly as possible, it will not be liable for any losses arising from delays in delivery or collection.
6.8 Where work is delivered digitally either by e-mail or by making it available online, Bernd’s Eye View will not be held responsible for any loss or corruption of or delay to the work caused by such digital delivery.
7 INTERNET BASED SERVICES
7.1 The uptime and accessibility of internet based services is not guaranteed. Bernd’s Eye View will not accept liability for any failure of any internet based services as a result of computer system failure, internet failure, software bugs, computer viruses, software or hardware breakdown, incompatibility of Bernd’s Eye View’s internet based services with any third party software being used by the Client, or for any other reason outside of Bernd’s Eye View’s reasonable control.
7.2 The Client shall be responsible for maintaining the confidentiality of all passwords for access to internet based services, and Bernd’s Eye View will not accept any liability for lost or stolen passwords, or for any unauthorized access to the Client’s digital data held on any internet based service.
7.3 Bernd’s Eye View will not accept any liability to manage any data being stored by Bernd’s Eye View, and it is the responsibility of the Client to manage their data. If the Client uses Bernd’s Eye View internet based services to edit, retouch, and/or manipulate digital data, Bernd’s Eye View will not accept any liability for any resulting loss of digital data.
8 DELIVERY OF GOODS
8.1 The Client may collect goods Bernd’s Eye View or have them delivered by Bernd’s Eye View for an additional delivery charge.
8.2 Where Bernd’s Eye View has agreed to deliver goods to the Client, goods shall be delivered to the delivery address specified by the Client. If Bernd’s Eye View representative(s)/ couriers is/are unable to gain access to the delivery address and/or if delivery is delayed due to any act or omission of the Client, the Client shall be responsible for any additional delivery costs incurred by Bernd’s Eye View as a result of rearranging delivery and shall pay hire charges as if the delivery had not been so delayed.
8.3 Immediately upon receipt or collection of any goods, the Client shall inspect and satisfy itself as to its condition. If the Client fails to notify Bernd’s Eye View, promptly after receipt or collection, of any defect in or problem with the equipment and/or if the Client starts to use the goods, the Client shall be deemed to have confirmed that the goods are in a satisfactory condition upon delivery or collection.
8.4 It is the Clients sole responsibility to provide independent insurance cover for possible loss or damages incurred in delivery (included in courier charges).
8.5 Service times which are quoted are target times only. Bernd’s Eye View reserves the right to vary service times and accepts no liability for failure to comply with quoted service times resulting in any loss, direct or indirect.
9 TERMS APPLICABLE TO THE SALE OF CONSUMABLES
9.1 The Client may collect film and other consumables from Bernd’s Eye View and its assigned laboratory or have them delivered by Bernd’s Eye View or courier for an additional delivery charge.
9.2 Title to all consumables shall pass to the Client upon receipt by Bernd’s Eye View of the full price payable for them or, if later, on the date on which the consumables are delivered to or collected by the Client.
9.3 If the Client fails to notify Bernd’s Eye View, within three days after collection or receipt, of any defect in or problem with consumables and/or if the Client makes any use of them, the Client shall be deemed to have accepted the Consumables as being in a satisfactory condition upon delivery or collection.
9.4 Consumables purchases are not refundable and not returnable unless they are faulty.
10. REPRODUCTION AND PRINT SPECIFICATION
10.1 Colour, density, tone and contrast of prints: Bernd’s Eye View maintains all printing equipment at optimum print specification and grey balance. Please note that some colours may not accurately reproduce. Bernd’s Eye View cannot be held responsible for discrepancies for differences between images viewed on screen and prints produced from digital files.
11 LIMITATION OF LIABILITY
11.1 Bernd’s Eye View liability in respect of lost or damaged negatives or film shall be limited to the replacement cost of the film and Bernd’s Eye View shall not be liable for the cost of retaking or re-shooting the material contained on such film. It shall be for the Client to insure against such loss or damage.
11.2 Subject to the provisions of this clause 11.1, Bernd’s Eye View’s maximum aggregate liability under or in connection with any order shall not exceed the total sums payable by the Client to Bernd’s Eye View in connection with the relevant order.
11.3 Subject to clause 11.1, Bernd’s Eye View shall not be liable for any loss of income or profits, loss of contracts or for any indirect or consequential loss or damage of any kind howsoever arising.
11.4 Nothing in these Terms of Business shall exclude or in any way limit Bernd’s Eye View liability for fraud, or for death or personal injury caused by its negligence, or any other liability to the extent that the same may not be excluded or limited as a matter of law.
11.5 Nothing in this Agreement will affect any consumer’s statutory rights.
12 FORCE MAJEURE
12.1 Bernd’s Eye View shall not be liable for any delay in performing or failure to perform its obligations hereunder to the extent that such delay or failure results from any cause or circumstance beyond its reasonable control, including without limitation any inability of Bernd’s Eye View to secure labour, materials, supplies or transport, scarcity of fuel, power or components, breakdown of machinery, fire, storm, flood, acts of God, internet failure, war, civil disturbance, strikes, lockouts or industrial action (each an “event of force majeure”). If any event of force majeure occurs, the date(s) for performance of Bernd’s Eye View affected obligation(s) shall be postponed for as long as is made necessary by the event of force majeure. If any event of force majeure continues for a period of or exceeding 60 days, the Client may cancel the affected order (or the affected part(s) of it) by written notice to Bernd’s Eye View.
13 GENERAL
13.1 Bernd’s Eye View reserves the right to change opening or operating times.
13.2 Time shall not be of the essence with respect to the performance of any of Bernd’s Eye View obligations hereunder.
13.3 The Client may not assign, sub-license or sub-contract any of its rights or obligations under these Terms of Business without the prior written consent of Bernd’s Eye View.
13.4 These Terms of Business constitute the entire agreement and understanding between the parties with respect to their subject matter and supersede any prior agreement, understanding or arrangement between the parties, whether oral or in writing, with respect to the same. No representation, undertaking or promise shall be taken to have been given or be implied from anything said or written in communications between the parties except as set out in these Terms of Business. Neither party shall have any remedy in respect of any untrue statement made to it upon which it has relied (unless such untrue statement was made fraudulently) and that party’s only remedies shall be for breach of contract as provided in these Terms of Business.

6 ALMACENAMIENTO Y ENTREGA DE DATOS Y OTROS MATERIALES DEL CLIENTE: RESPONSABILIDAD DEL CLIENTE POR ASEGURARSE

Servicio de mensajería / Entrega

7 SERVICIOS BASADOS EN INTERNET

8 ENTREGA DE BIENES

9 TÉRMINOS APLICABLES A LA VENTA DE CONSUMIBLES
9.1 El Cliente puede recoger películas y otros consumibles de Bernd's Eye View y su laboratorio asignado o hacer que Bernd's Eye View o el servicio de mensajería los entreguen por un cargo de envío adicional.
9.2 El título de todos los consumibles pasará al Cliente una vez que Bernd's Eye View reciba el precio completo pagadero por ellos o, si fuera posterior, en la fecha en que el cliente entregue o recoja los consumibles.
9.3 Si el cliente no notifica a Bernd's Eye View, dentro de los tres días posteriores a la recolección o recepción, de cualquier defecto o problema con los consumibles y / o si el Cliente los utiliza, se considerará que el Cliente ha aceptado los Consumibles como estar en una condición satisfactoria en el momento de la entrega o recolección.

10. ESPECIFICACIÓN DE REPRODUCCIÓN E IMPRESIÓN

11 LIMITACIÓN DE RESPONSABILIDAD

12 FUERZA MAYOR

Si un evento de fuerza mayor continúa por un período de 60 días o más, el Cliente puede cancelar el pedido afectado (o las partes afectadas del mismo) mediante notificación por escrito a Bernd's Eye View.
13 GENERAL
13.1 Bernd's Eye View se reserva el derecho de cambiar los horarios de apertura u operación.
13.2 El tiempo no será esencial con respecto al cumplimiento de cualquiera de las obligaciones de Bernd's Eye View en virtud del presente.
13.3 El Cliente no puede ceder, sublicenciar o subcontratar ninguno de sus derechos u obligaciones según estos Términos de Negocio sin el consentimiento previo por escrito de Bernd's Eye View.
13.4 Estos Términos de Negocio constituyen el acuerdo completo y el entendimiento entre las partes con respecto a su objeto y reemplazan cualquier acuerdo previo, entendimiento o acuerdo entre las partes, ya sea oral o por escrito, con respecto al mismo. No se tomará ninguna representación, compromiso o promesa que se haya dado o se implique a partir de algo dicho o escrito en las comunicaciones entre las partes, excepto en los términos establecidos en estos Términos de Negocio. Ninguna de las partes tendrá ningún remedio con respecto a cualquier declaración falsa hecha sobre la que se haya basado (a menos que dicha declaración falsa se haya realizado fraudulentamente) y los únicos remedios de esa parte serán por incumplimiento de contrato según lo estipulado en estos Términos de Negocio.
